Corporate Social Responsibility

Purpose

The purpose of the corporate social responsibility policy (“Policy”) is to serve as a guideline for the corporate social responsibility undertaken by Kapoor Diesels Garage Private Limited (“KDGPL”) in compliance with the provisions of Companies Act, 2013 and rules framed there under. KDGPL aims to make a difference in the community it operates in by undertaking:

Community development

  • Ensuring education of underprivileged children with a view to helping them on the path of economic independence and a better life.
  • To contribute to the community by conducting various health checkup camps, blood donation camps & working with various institutions such as public/government bodies for HIV+ and its awareness.
  • Partnering with NGOs to take care of the needs of the institutions.
  • Any unforeseen event that occurs which requires support (e.g. natural calamities, etc.).

Environment Sustainability

  • Educate and build awareness about the need and ways of being environmentally conscious and resource efficient.
  • With a motive of Go Green and Go Paperless.

Scope of CSR Activities:

KDGPL is eligible to undertake any CSR activities as prescribed in Schedule VII of the Companies Act, 2013. However, at present, it proposes to undertake relevant activities in any of the following focus areas:

  • Promoting education, including special education and employment-enhancing vocational skills among children, women, and differently-abled persons.
  • Promoting healthcare, including preventive health care and sanitation, and making available safe drinking water.
  • Promoting gender equality and empowering women.
  • Ensuring environmental sustainability, conservation of natural resources, maintaining ecological balance, and supporting animal welfare.
  • Rural development projects.
  • Disaster relief and support during natural calamities and emergencies.
  • Contributions to government-notified relief funds, such as the Prime Minister’s National Relief Fund or other funds specified in Schedule VII.

The above activities will be undertaken in project/program mode, either directly or in collaboration with registered implementing agencies.

Identification and Implementation of CSR Project

The Company shall ensure that in identifying its CSR Projects, preference shall be given to the local area and areas around which the Company (including its Units) operates. However, this shall not bar the Company from pursuing its CSR Projects in other areas.

CSR programs may be implemented:

  • Directly by the Company, or
  • Through registered implementing agencies such as NGOs, trusts, or societies that are eligible under Rule 4 of the Companies (CSR Policy) Rules, 2014 and have a valid CSR Registration Number.

CSR Budget

  • The Company shall spend, in every financial year, at least 2% of the average net profits of the preceding three financial years, calculated in accordance with Section 198 of the Act.
  • The amount remaining unspent, if any, shall be dealt with in accordance with Section 135(5) and 135(6) of the Act.
  • Any surplus arising out of CSR projects shall not form part of the business profit of the Company and shall be utilized for CSR purposes only.

CSR Committee Composition

  • The CSR Committee shall comprise of at least 3 directors from KDGPL Board of Directors.
  • The composition of the CSR Committee shall be disclosed in the annual Board of Directors’ report.
  • The day-to-day roles and responsibilities of the committee may be delegated to any person or group of persons as decided by the Board of KDGPL.

Responsibilities

  • The responsibility of compliance of the CSR Policy shall lie with the CSR Committee.
  • The CSR Committee shall prepare, formulate, amend and recommend to the Board the CSR Policy from time to time, covering activities to be undertaken as detailed in this CSR Policy, and recommend the amount of expenditure to be incurred.
  • Monitor the CSR Policy from time to time.
  • Approve and disclose the CSR Policy in the annual directors’ report and on the website of KDGPL.
  • Ensure implementation of CSR activities as per the CSR Policy.
